Rangers' extraordinary general meeting called by Dave King will be held in London on Wednesday 4 March.
The shareholder and former Ibrox director has requisitioned changes to the club's board that will be voted on.
King wants himself, Paul Murray and John Gilligan to replace James Easdale, Barry Leach, chairman David Somers and chief executive Derek Llambias.
The South Africa-based businessman believes he has enough support among shareholders to overhaul the board.
A London hotel will be the venue for the EGM, with the cost of the process amounting to £200,000.
In a lengthy statement to the stock exchange,, external the club ask shareholders to reject King's proposals.
They also outlined his numerous convictions for breaking South African tax law, and say he would not pass fit and proper football regulations to become a director.
