A deal for Shropshire Council to buy Shrewsbury's shopping centres is to be completed "off-shore", saving the authority a large stamp duty bill, the BBC understands.
Last month, councillors agreed to buy the Darwin, Pride Hill and Riverside centres from UK Commercial Property Trust.
Payment of the stamp duty would have gone to central government and critics have called the move "immoral" and that the authority should pay its taxes.
The Shrewsbury centres are already owned by an offshore trust based in the Channel Islands, external and the move's allowed by law.
Shropshire Council says it can't comment due to commercial confidentiality.

Fire crews were sent to Turnhurst Road, Chell, Stoke-onTrent at about 14:15 and say ambulance crews took the victim to hospital.
Staffordshire Fire Service says it's now investigating what caused the blaze.
Five people died in the motorway collision in Staffordshire early on 24 May.

A mother whose daughter died after taking an overdose of diet pills has criticised Worcestershire Royal Hospital, external for being “complacent.”
Bethany Shipsey, 21, of Worcester, died after taking the pills containing the substance DNP in February 2017.
Carol Shipsey has told an inquest staff were too “busy” to care for her properly and “misinterpreted” how ill she was.
Earlier in the hearing, which started last week at Worcester Coroner's Court, the inquest was told the hospital was overcrowded when Ms Shipsey was brought in.
The inquest continues.

A man's been arrested after a taxi driver was reportedly threatened with a gun in Newcastle-under-Lyme today., external
Armed police were sent to an address on Jason Street after the taxi driver said the weapon had looked like a "silver-coloured handgun".
Police arrested a 34-year-old man on suspicion of possession of a firearm with intent to cause fear of violence. Officers also seized an air pistol at the house.
A planned statue of the footballing "Three Degrees", Brendon Batson, Laurie Cunningham and Cyrille Regis, is currently on the floor of a foundry in London, where it has been for the past four years.
Sculptor Graham Ibbeson said £50,000 is needed to assemble the three 7ft 6in (2.3m) figures, known as "The Celebration."
He said Cyrille Regis, who died last night, was one of the nicest men he'd ever had the pleasure to meet.
"He had time for everybody and no edge whatsoever.
"He'll be sadly missed by everyone who encountered him. A true gent."

Dale Raticliffe, of no fixed address, has been charged with four counts of sexual assault and two counts of indecent exposure.
All of the charges relate to incidents in Yatton between January 7 and 10, except for one count of sexual assault which relates to an incident in Telford, Shropshire, on September 14.
He was remanded in custody and is due to appear at Bristol Crown Court on 16th February.

A man has appeared in court charged with the murder of Reagan Asbury during a brawl at a boxing event.
Reagan Asbury, 19, from Pelsall, died from a neck wound on 14 October at Walsall Town Hall.
Tyrone Andrew, 21, of St Helen's Street Derby appeared at Birmingham Crown Court.
He'll next appear on 9 February.
Coventry City Football Club says it is "deeply shocked and saddened" to learn of the death of former striker and FA Cup winning hero Cyrille Regis.
"He was a true Sky Blues legend, a strong, powerful striker and gentleman," it said.
"He was still a regular visitor to the Ricoh Arena on matchdays, always humble and taking the time to speak to supporters."
Regis played 238 games for the Sky Blues and scored 47 times in a career at Highfield Road from 1984 to 1991. He was signed by Bobby Gould from West Bromwich Albion.
But bosses insist medical students helping meet winter NHS demand will work within their abilities.

Yellow weather warnings for snow, ice and wind have been issued for parts of the West Midlands this week.
The Met Office says the one for snow and ice runs from 04:00 tomorrow until 11:00 on Wednesday, external and predominantly is for Staffordshire, Shropshire and the Black Country.
Then they say the whole region will be affected by very strong winds from 21:00 on Wednesday until 13:00 on Thursday, external.

People I've spoken to outside this morning say he's their hero.
Flowers and shirts have been tied to the Jess Astle gate this morning. One tribute says "Rip Big Cyrille. Thank you for lighting up the Hawthorns with your skill."
A lot of people have spoken to me about what a great player he was, but not only that but a big figure into changing people's attitudes on racism.
