Shopping centre giant Hammerson has rejected an improved £5.04bn takeover offer from France's Klepierre.
Birmingham Bullring owner Hammerson said it had received a revised bid of 635p per share, made up of 50% cash and 50% in new Klepierre shares.
The group said the offer price did not justify further talks with the suitor and unanimously rejected it.
However, the firm said it was open to discuss a further proposal from Klepierre which "properly reflects the value of the company".

The body of a "badly decomposed" dog has been found near a canal in Walsall, the RSPCA said.
A member of the public found the dog, with a brick laying next to its head, on Abbot's Street last Friday.
RSPCA inspector Kate Levesley said the circumstances are "suspicious".
"The dog's body was badly decomposed, so we are unable to identify it's sex or exact breed, but it looks like a terrier type. It was not microchipped.
"I would therefore appeal to anyone who may recognise the dog, who know who the owner might be, or if anyone was seen acting suspiciously in the area."

People in Newcastle-under-Lyme are being asked to name their favourite site so they can be added to a register to protect them.
More than 100 sites are already on the list including are the Cherry Tree pub in Newcastle, Kidsgrove Methodist Church and a mining sculpture in Silverdale.
The idea is that if a planning application is submitted then sites on the list, not already listed by the government, will be protected from any "harmful changes" or demolition.

New figures suggest NHS trusts in the West Midlands have bought more than 42.5 million plastic cups in the last five years.
Data obtained through Freedom of Information requests by the Press Association shows the biggest buyers were Heart of England, who paid for more than 14 million, and University Hospitals Birmingham, which bought more than 10 million.
While Worcestershire Acute Hospitals NHS Trust bought more than 2 million.
The figures, from 2013-18, might be higher as some trusts haven't replied yet.

A girl who was left unable to walk after the Manchester terror attack has recovered from her "horrific" injuries and is training for a charity run.
Freya Lewis, 15, from Holmes Chapel, Cheshire, used a wheelchair for three months after the suicide bombing at the Ariane Grande gig and never thought she would walk again.
She will be raising money for the Royal Manchester Children's Hospital where she was treated.
Her friend Nell Jones was one of the 22 people who were killed on 22 May 2017.

Thousands of pounds worth of cigarettes were stolen in an armed robbery , externalwhere staff were threatened with a baseball bat and a gun.
The masked robbers then made off with the cigarettes in a lorry but it was tracked down to Jesson Road, Walsall, following Monday evening's robbery at Hyperama in West Bromwich.
A 50-year-old man was arrested on suspicion of handling stolen goods while a 17-year-old boy and two men, 18 and 42, were arrested on suspicion of robbery.
