A 32-year-old died at the scene, at Goose Meadow Off Road Track by the A5 on Watling Street Shawell, police said.
The other motorcyclist, a man in his late thirties, was taken to hospital where he's being treated for serious injuries.
Officers from Warwickshire Police are asking any witnesses to come forward.

Two motorcyclists were killed in separate incidents on Sunday.
One motorbike was involved in a collision on the A438 at Hollybush, near Ledbury, Herefordshire at about 11:40, with the rider confirmed dead at the scene.
The second incident happened on Redditch Road in Ullenhall near Henley-in-Arden, Warwickshire at about 12:30, and "sadly" he too died at the scene, said the ambulance service.

A nurse has postponed her attempt to finish swimming the 220 miles of the River Severn as she has to go back to work.
Weather conditions and illness has put Melissa Compton behind schedule since beginning the challenge, in Wales, last month.
She had reached Gloucester and was close to her finishing line of the Severn Beach in the Bristol Channel.
But low tides stopped her completing the swim at the weekend now she says the weather and choppy waters mean it's not safe today.
The 39-year-old's got to go back to work at the Royal Shrewsbury Hospital tomorrow and said she'll finish when she can but spring tides and a bore are due.

Men armed with bricks and bats have smashed up a house and cars on a street in Stoke-on-Trent, police have said.
Armed police were called to Christchurch Street, Fenton, on Saturday night after reports that one man had a sword but they say that type of weapon wasn't found.
Several vehicles and a house had been damaged and two people suffered injuries although they aren't thought to be serious.
The force is treating the incident as an aggravated burglary and no arrests have yet been made.

A teenager has died after taking a suspected bad batch of MDMA, or ecstasy.
Four other teenage boys who are believed to have taken the drug were also taken to hospital after emergency services were called to a property in Wetherby Way Stratford-upon-Avon, during the early hours of Sunday.
Police believe they had taken a type of the drug known as "Mandy" and are keeping an open mind as to whether it was a bad bath of drugs, a bad reaction or an overdose.
Two 17-year-olds have been arrested on suspicion of possession of class A drugs with intent to supply.
One has been released under investigation and one remains in police custody.

More than 12,500 people have signed a petition against the demolition of a Birmingham pub
The Flapper, in Kingston Row, is described in the petition as being vital to the city's music scene.
Plans to knock it down have been submitted to the city council by owners Baskerville Wharf LLP and Whitehorse Estates Ltd.
The canalside building will replaced with a new building of 27 apartments.
The Save the Flapper campaign group says it would be a huge loss of an "important" venue for the Birmingham music scene.
The owners say the pub's closing in January and would cost too much to renovate, adding that they believe there are other venues in the city which are equally good "if not more suitable".

A 20 year-old, charged with wounding with intent to cause grievous bodily harm, robbery and making threats with a bladed weapon is due to appear at Dudley Magistrates' Court.
The boy's injuries are not thought to be life-threatening, police said.
